CLUB CONSTITUTION

1 Name

The club will be called Hornsea Cricket Club and will be affiliated to the England & Wales Cricket Board.

 

2 Aims and objectives

The aims and objectives of the club will be:

·        To offer coaching and competitive opportunities in cricket

·        To promote the club within the local community and cricket.

·        To ensure a duty of care to all members of the club.

·        To provide all its services in a way that is fair to everyone.

·        To promote the sport to all regardless of colour, creed, or gender.

·        To act as the advisory body on the provision of cricket facilities, with particular reference to the Hollis Trust.

·        To ensure that all present and future members receive fair and equal treatment.

 

3 Membership

Membership should consist of officers and members of the club.

All members will be subject to the regulations of the constitution and by joining the club will be deemed to accept these regulations and codes of conduct that the club has adopted.

Membership is considered to start on 1st January each year.

Members will be enrolled in one of the following categories:

·        Full Member (aged 18 or over on 1st September proceeding the playing season) A full member is available for selection to any team, and is deemed to have equal voting rights at an AGM / EGM.

·        Junior Member (aged under 18 on 1st September proceeding the playing season. A junior member is available for selection to any team unless subject to the constraint of that competition), and is deemed to have equal voting rights at an AGM / EGM.

·        Life Member. Life membership may be awarded to an individual only through a majority vote at an AGM / EGM. A life member is deemed to equal voting rights at an AGM / EGM.

·        Vice President.  Vice President’s may be appointed by any of the club’s officers, or by the General Committee.  A Vice president is deemed to equal voting rights at an AGM / EGM. A Vice President may also be voted out at an AGM.

·        Social Member. Includes members of the century club who are not full members, and the spouse or partner of a fully paid up full member.  Social members are not entitled to vote.

 

4 Membership fees

Membership fees will be set annually and agreed by the General Committee.

Fees will be paid: annually by 1st June each year.  A reduction on the subscription set down by the General Committee may be claimed for all payments paid by standing order or received by the Treasurer on or before close of business on 31st May.

Failure to make payments to the Treasurer by the above date may result in suspension of membership rights until obligations have been met. The General Committee has the right to determine appropriate action until the next AGM, when expulsion could be the ultimate decision.

 

5 Officers of the club

The officers of the club will be:

·        President

·        Chairman

·        Vice Chairman

·        General Secretary

·        Treasurer

·        Fixtures Secretary

·        Subscription Secretary

·        Club Captain

Officers will be elected annually at the Annual General Meeting.

All officers may remain in office until they wish to stand down, or another member stands against them at an AGM.

 

6 Committee

The club will be managed through the General Committee consisting of:  President, Chairman, Vice Chairman, General Secretary, Treasurer, Fixture Secretary, Subscription Secretary, Club Captain, All senior team Captains, plus members elected at the AGM or members co-opted by the General Committee. Only these posts will have the right to vote at meetings of the General Committee.

The General Committee will be convened by the Secretary of the club and held no less than six meetings per year.

The quorum required for business to be agreed at General Committee meetings will be five members.

A simple majority of voting members present shall suffice.

The General Committee will be responsible for adopting new policy, codes of conduct and rules that affect the organisation of the club.

The General Committee will have powers to appoint sub-committees as necessary and appoint advisers to the General Committee as necessary to fulfil its business.

The General Committee will be responsible for disciplinary hearings of members who infringe the club rules/regulations/ constitution. The General Committee will be responsible for taking any action of suspension or discipline following such hearings.

 

7 Finance

All club monies will be banked in an account held in the name of the club.

The Club Treasurer will be responsible for the finances of the club.

The financial year of the club will end on 30th September.

An audited statement of annual accounts will be presented by the Treasurer at the Annual General Meeting.

Any cheques drawn against club funds should hold the signatures of any two of the club’s officers, but must include the Treasurer or Chairman.

 

8 Annual General Meetings

Notice of the Annual General Meeting (AGM) will be given by the Club Secretary, and shall be held not later than 30th November in any year.

The AGM will receive a report from the Chairman, Secretary, & Treasurer and a statement of the audited accounts.

Nominations for officers of the General Committee will be sent to the Secretary prior to the 31st October in writing.

Election of officers is to take place at the AGM.

All members, save for Social Members, have the right to vote at the AGM.

The quorum for AGMs will be a 2/3rds majority of members present for alterations to rules, and a simple majority in other matters.

The General Committee has the right to call Extraordinary General Meetings (EGMs) outside the AGM.

An EGM may also be called within 21 days at the written request to the Secretary by at least 1/5th of the membership. The object of the meeting shall be fully stated in the request, and in the notice convening the meeting.

Procedures for EGM’s will be the same as for the AGM.

 

9 Discipline and appeals

All  disciplinary matters will be dealt with in accordance with the club’s disciplinary rules.

 

10 Dissolution

A resolution to dissolve the club can only be passed at an AGM or EGM by a ¾ majority of those present and entitled to vote at that meeting.

In the event of dissolution, any assets of the club that remain will become the property of England & Wales Cricket Board, or some other club with similar objectives to those of Hornsea Cricket Club.

 

11 Amendments to the constitution

The constitution may only be changed by a 2/3 majority of those present and entitled to vote at the AGM or EGM in question.

 

12 Child Welfare

The General Committee will adopt the ECB policy on child welfare and its officers shall procure that all members of Hornsea Cricket Club  will adhere to that policy from time to time in force.

 

13 Declaration

Hornsea Cricket Club  hereby adopts and accepts this constitution as a current operating guide regulating the actions of members.
